Terms of Service

By installing or using Replinish, you agree to these Terms of Service ("Terms"). Please read them carefully. If you do not agree, do not use the app.

1. The Service

Replinish provides inventory forecasting, reorder recommendations, and purchase order management for Shopify merchants. The service includes a web dashboard, automated recommendations, alert notifications, and reporting tools.

2. Eligibility

You must have an active Shopify store and a valid Replinish subscription (or active free trial) to use the service.

3. Subscription and Billing

Replinish is offered on a subscription basis. Billing is handled by Shopify through the Shopify App Store. Pricing plans are displayed within the app. Your subscription renews automatically unless cancelled. Refunds are subject to Shopify's billing policies.

Plans: Flow ($29/month) and Swell ($79/month). A 14-day free trial is available to new merchants.

4. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of Replinish.
• Use the service in a way that violates any applicable law or Shopify's Partner Program Agreement.
• Resell or sublicense access to Replinish.
• Attempt to overload or disrupt the service infrastructure.

5. Data

You retain ownership of all data you bring to Replinish (products, sales history, POs). You grant us a limited license to process this data to provide the service. See our Privacy Policy for full details on data handling.

6. Forecasts and Recommendations

Replinish provides recommendations based on historical sales data and configurable parameters. Recommendations are not guarantees of future inventory needs. You are solely responsible for purchasing decisions. We are not liable for overstocking, stockouts, or financial losses resulting from acting on our recommendations.

7. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance or updates that temporarily interrupt the service. We will notify merchants of planned downtime where reasonably possible.

8. Limitation of Liability

To the maximum extent permitted by law, Replinish and its operators shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the service, including lost profits or data loss. Our total liability shall not exceed the amounts you paid for the service in the 12 months preceding the claim.

9. Termination

You may cancel your subscription at any time via the Shopify App Store. We may suspend or terminate access if you violate these Terms, with or without notice depending on severity.

10. Changes to Terms

We may update these Terms from time to time. We will notify merchants of material changes at least 14 days in advance via in-app notice or email. Continued use of Replinish after changes constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the jurisdiction in which Replinish operates, without regard to conflict of law principles.
